1. Introduction

This End User Licence Agreement (“EULA”) is a legal agreement between you (“User”, “you”) and Vavyan (“Vavyan”, “we”, “us”) governing your use of Vavyan’s software applications, including Abode and any other apps we publish (collectively, “the Software”).

This EULA supplements our Terms of Service and Privacy Policy, which also apply to your use of the Software.

By installing, accessing, or using any Vavyan application, you agree to be bound by this EULA. If you do not agree, do not use the Software.

2. Licence grant

Subject to your compliance with this EULA, Vavyan grants you a limited, non-exclusive, non-transferable, revocable licence to:

• Access and use the Software for your personal, non-commercial purposes
• Access the Software through supported web browsers, iOS, or Android applications where available

This licence is for the purpose of allowing you to use and enjoy the benefit of the Software in the manner permitted by this EULA.

3. Restrictions

You may not, and you agree not to:

• Copy or redistribute the Software or any substantial part of it
• Modify, adapt, or create derivative works based on the Software
• Reverse engineer, decompile, or disassemble the Software, except to the extent permitted by applicable law
• Sell, sublicence, rent, lease, or lend the Software or access to it
• Remove or alter any proprietary notices, labels, or marks on the Software
• Use the Software for any illegal or unauthorised purpose
• Access the Software’s underlying APIs for automated or bulk operations without prior written consent

4. AI features

Certain features of the Software use artificial intelligence to assist you (for example, item recognition, recipe suggestions, or content generation). You acknowledge that:

• AI-generated outputs are suggestions only and may not be accurate
• You remain responsible for verifying and acting on any AI-generated content
• AI features may evolve, change, or be removed as the technology develops
• Vavyan makes no guarantee about the accuracy, completeness, or fitness for purpose of AI-generated outputs

5. Intellectual property

The Software, including all design, code, text, graphics, and AI models, is and remains the exclusive property of Vavyan or its licensors. All rights not expressly granted in this EULA are reserved.

Your Content (data, files, and content you create within the Software) remains your property, subject to the licence grant in our Terms of Service.

6. Third-party components

The Software may include third-party open-source components. These are governed by their respective licences, details of which are available on request.

7. Updates and changes

We may update the Software at any time to add features, fix bugs, or comply with legal requirements. Updates are generally beneficial but may change or remove features. We will provide reasonable notice of significant changes.

8. Termination

This licence is effective until terminated. It terminates automatically if you breach any term of this EULA. We may also terminate or suspend your access if you breach our Terms of Service.

On termination, you must cease all use of the Software. Sections 5, 9, 10, and 11 survive termination.

9. Disclaimer of warranties

THE SOFTWARE IS PROVIDED “AS IS”, WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, VAVYAN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

VAVYAN DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VAVYAN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION) ARISING FROM YOUR USE OF OR INABILITY TO USE THE SOFTWARE.

VAVYAN’S TOTAL LIABILITY TO YOU UNDER THIS EULA SHALL NOT EXCEED THE AMOUNT YOU PAID TO VAVYAN IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR €100, WHICHEVER IS GREATER.

NOTHING IN THIS EULA EXCLUDES OR LIMITS LIABILITY THAT CANNOT LEGALLY BE EXCLUDED, INCLUDING LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, OR FRAUDULENT MISREPRESENTATION.

11. Governing law

This EULA is governed by the laws of the European Union and the applicable national laws of the jurisdiction in which Vavyan is incorporated. You consent to the exclusive jurisdiction of those courts for any dispute arising under this EULA.

12. Changes to this EULA

We may update this EULA from time to time. We will notify you of material changes via email or an in-app notification before they take effect. Continued use of the Software after changes take effect constitutes acceptance.

13. Entire agreement

This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Vavyan regarding the Software, and supersedes all prior agreements relating to the same subject matter.
